Position Summary: 

The Senior Legal Counsel serves as a member of a dynamic legal team that works well together to help the business identify winning solutions to complex commercial issues while maintaining sound risk mitigation strategies.  The Senior Legal Counsel will work with the business functions of a global company with over 5,500 employees.  The position reports to the Vice President, General Counsel and Secretary, and the duties include structuring, negotiating, and advising upon a variety of commercial, sourcing, licensing, and other agreements through application of Swagelok’s legal, contract, and business philosophies.  Good business judgment and creativity are essential, and this role includes a broad range of other corporate legal duties, including counseling, compliance, the provision of training, research, and policy drafting.  The Senior Legal Counsel will also provide advice regarding legal compliance and risk management, including assessment of legal risks relating to operations and strategic decisions.  The successful candidate will be assigned other duties based on the individual’s experience.

 

Essential Duties and Responsibilities

  • Collaborate with the commercial team and other functions by providing commercially-sensitive advice regarding day-to-day legal matters, highlighting potential risks and offering risk mitigation recommendations and alternatives, and counseling on applicable laws and regulations.
  • Structure, draft, and negotiate sales, sourcing, financing, confidentiality, and other commercial contracts.  
  • Address general corporate matters and assist with corporate records management, marketing matters, distributor relationships, and competition law matters.
  • Work with the legal team to help identify opportunities for improvement, support legal initiatives and projects, and provide legal training to business teams.
  • Assist with risk, legal, and commercial aspects of business processes.
  • Support business development, acquisitions, and due diligence matters.
  • Manage outside counsel and assist in coordinating legal services for worldwide needs.
  • The Senior Legal Counsel will be assigned other duties based on the individual’s experience.  Other areas of relevant legal experience that will be considered include compliance, real estate, environmental, product safety and quality, intellectual property, and regulatory matters.

Education and/or work experience requirements

 

Education:    J.D. from an accredited law school and active and admitted to the bar in the State of Ohio.
Experience:    Minimum of five to twelve years’ experience at a law firm and/or in a corporate legal environment.  A combination of law firm and corporate legal experience is preferred.  
Skills/Knowledge:    Experienced in commercial and corporate law, and a broad spectrum of contract matters.  Excellent drafting, writing, and communication skills.  Advanced understanding of commercial law, UCC, and other applicable statutes in the corporate area is desirable.  Works collaboratively with all internal functions, internal clients, and external counsel.  Effectively manages legal matters.  Should have an ability to think globally.  Ability to work independently as well as collaboratively and effectively with non-legal business teams, and with associates at all levels of an organization, is crucial.  Organized and able to handle and prioritize multiple, complex matters successfully with a minimum level of supervision.  Strong reputation for integrity and ability to balance business interests with the need to exercise independent judgment.  The ability to raise (and escalate, if necessary) potentially sensitive or contentious issues.  Broad business knowledge, high energy, and enthusiasm with sound judgment.


The areas of relevant legal experience that will be considered include commercial law, corporate records management, advertising/marketing/communications matters, compliance, litigation, real estate, distributor relationships, competition laws, environmental, product safety and quality, intellectual property, and regulatory.

Working Conditions and/or Physical Requirements

  • Physical requirements associated with normal office working environment. 

  • Ability to operate standard office equipment (e.g. computer, telephone, copier, printer, etc.). 

  • Ability to effectively communicate in both small and large groups and settings. 

  • Ability to traverse between multiple locations in Ohio and Pennsylvania. 

  • Occasional international travel may also be required.   

  • Ability to safely and successfully perform the essential functions of the job consistent with the ADA, FMLA and other federal, state and local standards, including meeting qualitative and/or quantitative productivity standards.  

  • Ability to maintain regular, punctual attendance consistent with the ADA, FMLA and other federal, state and local standards.
